1. Factoring Coordination Disclaimer
NexPick may provide administrative assistance or introductions to independent third-party factoring companies. NexPick does not provide loans, purchase receivables, make credit decisions, guarantee approval, or control funding timing.
Any factoring service is governed only by your separate agreement with the factoring provider. You are solely responsible for reviewing that provider's fees, advance rate, recourse terms, reserves, termination terms, notices of assignment, and other conditions.
2. Brokers, Shippers & Third Parties
Freight brokers, shippers, receivers, factoring providers, software platforms, and other third parties are independent from NexPick. Their services and decisions are governed by their own terms.
Important: NexPick is not responsible for a third party's acts, omissions, payment failure, delay, cargo claim, service interruption, or data practices.
3. No Guarantee of Results
We do not guarantee load availability, rates, revenue, profit, broker approval, payment, routes, fuel cost, detention, layover, or any specific business result. Freight conditions and third-party decisions can change without notice.
4. Disclaimer of Warranties
To the maximum extent permitted by law, the website and services are provided "as is" and "as available." NexPick disclaims warranties not expressly stated in a signed service agreement, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Some jurisdictions do not allow certain disclaimers, so some of this section may not apply to you.
5. Limitation of Liability
To the maximum extent permitted by law, NexPick will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, business interruption, cargo loss, or loss of data arising from the website, services, or third parties. Any aggregate liability will be limited as stated in the signed service agreement. Nothing in these Terms excludes liability that cannot legally be excluded or limited.
